1. Agreement to Terms

By accessing or using daimi.app ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

daimi.app is a Software-as-a-Service (SaaS) platform that enables businesses to create and manage customer loyalty programs using QR code-based check-ins and automated rewards.

2. Definitions

• Business Account: An account created by a business to manage their loyalty program
• Customer/Member: End users who participate in business loyalty programs
• Business Owner: The primary administrator of a Business Account
• Staff: Users with limited permissions granted by a Business Owner
• Check-in: The action of scanning a QR code to record customer attendance
• Reward: Benefits earned by customers through program participation

3. Eligibility

To use our Service, you must:

• Be at least 18 years old (or age of majority in your jurisdiction)
• Have the legal capacity to enter into binding contracts
• For Business Accounts: Be authorized to represent and bind the business entity
• Provide accurate and complete registration information
• Maintain the security of your account credentials

4. Account Types and Responsibilities

4.1. Business Accounts

Business Owners are responsible for:

• All activities conducted through their business account
• Compliance with applicable laws and regulations
• Managing their customer data in accordance with privacy laws
• Setting appropriate reward terms and honoring them
• Managing staff access and permissions
• Ensuring accurate business information

4.2. Customer Accounts

Customers are responsible for:

• Maintaining the confidentiality of their QR codes
• Providing accurate contact information
• Using the service in accordance with these Terms
• Not sharing or transferring their membership to others

5. Acceptable Use Policy

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Transmit malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to our systems
• Use the Service for fraudulent purposes
• Manipulate or abuse the reward system
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Scrape, crawl, or harvest data without permission
• Interfere with the proper functioning of the Service

6. Intellectual Property Rights

6.1. Our Property

The Service, including its original content, features, functionality, source code, and design, is owned by daimi.app and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2. Your Content

You retain ownership of content you upload (logos, business information, etc.). By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and reproduce your content solely for providing the Service.

6.3. Trademarks

"daimi.app" and related logos are trademarks. You may not use these marks without our prior written permission.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Payment Terms

8.1. Subscription Plans

We offer various subscription plans with different features and pricing. Current pricing is available on our website.

8.2. Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Payment is due at the start of each billing period
• We accept major credit cards and other payment methods as indicated
• All fees are in Canadian Dollars (CAD) unless otherwise specified

8.3. Refunds

Subscription fees are generally non-refundable except as required by law or at our sole discretion.

8.4. Price Changes

We reserve the right to modify our pricing. We will provide at least 30 days' notice before any price increase takes effect.

9. Service Availability and Support

We strive to provide reliable service, but we do not guarantee:

• Uninterrupted or error-free operation
• That defects will be corrected immediately
• Compatibility with all devices or browsers
• That the Service will meet your specific requirements

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• daimi.app shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• This includes loss of profits, data, use, goodwill, or other intangible losses
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim

11. Indemnification

You agree to indemnify, defend, and hold harmless daimi.app and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or data

12. Termination

12.1. By You

You may cancel your account at any time through your account settings or by contacting us. Cancellation does not entitle you to a refund of prepaid fees.

12.2. By Us

We may suspend or terminate your account immediately if:

• You breach these Terms
• Your account is inactive for an extended period
• We are required to do so by law
• We reasonably believe your account poses a security risk

12.3. Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will make reasonable efforts to provide you with access to export your data for 30 days after termination.

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Email notification to your registered email address
• Prominent notice on our platform
• Updating the "Last updated" date at the top of this page

Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Canada and the province in which we operate, without regard to conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through good faith negotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts located in our jurisdiction.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and daimi.app regarding the Service.

15.2. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
